These Terms of Use ("Terms") are a legal agreement between you and AI 4 Work Ltd ("Company," "we," or "us"). By accessing or using Teamup ("Service"), you agree to be bound by these Terms.

If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

  1. ELIGIBILITY

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and legally capable of entering into this agreement. You may not use the Service if prohibited by applicable law.

  1. THE SERVICE

Teamup is a workspace application providing productivity, collaboration, and related features, including AI-assisted functionality. We may update, change, suspend, or discontinue any part of the Service at any time without prior notice.

  1. BETA NOTICE

The Service, or certain features, may be offered in beta or pre-release form. Beta features may be incomplete, unstable, or contain errors, and may be modified, suspended, or discontinued at any time without notice. Beta features are provided "as is" with no warranty or service level commitment. Do not rely on beta features for critical or time-sensitive purposes.

  1. YOUR ACCOUNT

You are responsible for keeping your account credentials secure and for all activity under your account. You must notify us immediately at tandem@ai4work.net if you suspect unauthorised access or credential compromise. We may suspend or restrict access to your account if we reasonably believe there is a security risk, breach, or misuse.

  1. YOUR LICENCE

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for personal or internal business purposes. No ownership right is transferred to you.

  1. ACCEPTABLE USE

You may not use the Service to:

  • violate any applicable law, regulation, or third-party right;
  • infringe intellectual property, privacy, or other rights;
  • upload unlawful, harmful, offensive, or deceptive content;
  • transmit malware or harmful code;
  • interfere with or disrupt the Service or related infrastructure;
  • attempt unauthorised access to accounts, systems, or data;
  • reverse engineer, decompile, or create derivative works, except where prohibited by law;
  • scrape, extract, or harvest data by automated means, except as expressly permitted;
  • build or support a competing product or service;
  • resell, sublicense, or commercially exploit the Service without authorisation;
  • impersonate another person or misrepresent your affiliation; or
  • use the Service in a manner that burdens the platform or harms other users' experience.

We may investigate alleged violations and suspend or terminate access if we reasonably believe a violation has occurred.

  1. YOUR CONTENT

You retain ownership of all content you submit through the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, format, modify, and otherwise use your User Content solely to operate and improve the Service as described in our Privacy Notice.

You represent that you have all rights necessary to submit your User Content and that it does not violate these Terms or any applicable law.

  1. AI FEATURES

The Service may include AI-assisted features that generate, recommend, summarise, or transform content ("AI Features").

AI Feature outputs may be inaccurate, incomplete, or unsuitable. You are solely responsible for reviewing and validating all outputs before relying on them. AI Features are not a substitute for professional or expert judgment. We do not guarantee the accuracy, reliability, or fitness of any AI-generated output.

  1. PRIVACY

We collect and use personal data as described in our Privacy Notice. By using the Service, you consent to that collection and use.

  1. FEES AND PAYMENT

If you purchase paid features or a subscription, applicable pricing and billing terms will be displayed at the time of purchase. Fees are non-refundable except as required by law. We may change future pricing with reasonable prior notice. Failure to pay when due may result in suspension of paid features.

  1. INTELLECTUAL PROPERTY

The Service and all related software, design, content, branding, and intellectual property are owned by or licensed to us and are protected by applicable law. No rights are transferred to you except the limited licence in Section 5. All other rights are reserved.

  1. FEEDBACK

If you submit ideas, suggestions, or feedback about the Service, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation.

  1. THIRD-PARTY SERVICES

The Service may integrate with or link to third-party services. We are not responsible for third-party services or any loss arising from their use. Third-party services are governed by their own terms.

  1. TERMINATION

You may stop using the Service at any time. We may suspend or terminate your access immediately and without notice if you breach these Terms, create a security risk, or if we are required to do so by law.

On termination, your right to access the Service ends. Sections that by their nature should survive will survive, including intellectual property, disclaimers, limitations of liability, indemnity, and general provisions.

  1. DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF (A) FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) [USD 100 / £100 / €100 — CHOOSE ONE].

THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.

  1. INDEMNITY

You agree to defend and hold harmless the Company, its affiliates, and their personnel from claims arising out of your use of the Service, your User Content, your breach of these Terms, or your violation of applicable law or third-party rights.

  1. CHANGES TO THESE TERMS

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms or through the Service. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.

  1. GOVERNING LAW

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any dispute will be subject to the exclusive jurisdiction of the courts of the United Kingdom.

  1. GENERAL

Entire Agreement. These Terms, together with the Privacy Notice and any incorporated policies, constitute the entire agreement.

Severability. If any provision is unenforceable, the rest remains in full effect.

No Waiver. Failure to enforce a provision is not a waiver of our rights.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Force Majeure. We are not liable for delays caused by events beyond our reasonable control.

Electronic Notices. We may send notices to you electronically.
